For monthly subscriptions: You may cancel your subscription at any time.

For annual subscriptions: Cancellation requests must be made at least thirty (30) days before the renewal date to avoid being charged for the next billing cycle.

If you are a Business Customer, you are responsible for ensuring that all users within your organization comply with these Terms. Misuse of the Services by any authorized user of your organization may result in suspension or termination of your organization’s access, without prejudice to other remedies.

6. Data Collection and Use

Usage data will not be sold, shared, or used for marketing, profiling, or benchmarking purposes unrelated to the Services without Customer’s explicit consent. Sundial may use usage data from both Individual Users and Business Customers solely to provide, maintain, and improve the Services, including to review user accounts and understand how users engage with Sundial.

Your use of the Services is also governed by our Privacy Policy (https://trysundial.ai/privacy), which is incorporated into these Terms by reference. The Privacy Policy describes the types of data we collect, how we access and process calendar and email data, our no-storage practices, and how we handle account and usage data. For full details and your rights regarding data access and deletion, please refer to our Privacy Policy.

7. Third-Party Services

Sundial integrates with third-party services: Firebase, Google Calendar API, Render, OpenAI, Netlify, and Mailgun. You agree that your use of these third-party services is governed by their respective terms and policies, and we are not responsible for the practices or content of third-party services.

8. Intellectual Property

Sundial retains all rights, title, and interest in and to the Services, including all related intellectual property rights. You are granted a non-exclusive, non-transferable, revocable license to use the Services solely for personal or business use, subject to these Terms and the Order.

9. Termination

We reserve the right to suspend or terminate your account or access to the Services if you materially breach these Terms or engage in conduct that could harm the Services, other users, or our operations. We will make reasonable efforts to notify you in advance and provide an opportunity to cure where appropriate.

You may terminate your account at any time by ceasing to use the Services and uninstalling the extension.

Refunds Policy: For monthly subscriptions, cancellation takes effect at the end of the current billing cycle. For annual subscriptions, cancellation must be requested at least thirty (30) days prior to renewal to avoid charges for the next term.

Except as required by applicable law or as otherwise agreed in writing (e.g., under an enterprise agreement), fees paid are non-refundable, including any unused portion of the subscription.

10. Disclaimers and Limitation of Liability

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.

Sundial does not guarantee the accuracy, completeness, or reliability of the Services, including any AI-generated information.

To the maximum extent permitted by applicable law, (A) Sundial will not be liable for any damages arising from the use or inability to use the Services, including but not limited to incidental, indirect, or consequential damages and (B) Sundial’s maximum cumulative liability in connection with these Terms and the Services will not exceed the total fees paid by you to Sundial in the twelve (12) months prior to the event giving rise to the claim.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Sundial, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) Your use of the Services in violation of these Terms,
  • (b) your violation of any applicable law or regulation, or
  • (c) content or data submitted through your use of the Services.

For Business Customers: This indemnification obligation does not apply to claims arising from Sundial’s gross negligence, willful misconduct, or breach of confidentiality obligations, where liability shall be determined in accordance with applicable law. Each party agrees to promptly notify the other of any such claim and cooperate in the defense and resolution of the matter.

This Section does not limit any rights available under a separate enterprise agreement, if one exists.

12. Governing Law and Dispute Resolution

For Individual Users: Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting Sundial at support@trysundial.ai. We will attempt to resolve the dispute through good-faith negotiations within 30 days. If the dispute is not resolved within this period, it shall be resolved through binding arbitration in Delaware under the Commercial or Consumer Arbitration Rules (as applicable) of the American Arbitration Association.

For Business Customers (Including Enterprise Plans):

For Business Customers who have entered into a separate agreement with Sundial, the dispute resolution terms in that agreement will govern. Absent such an agreement, any disputes arising out of or relating to these Terms shall be governed by and resolved under the laws of the State of Delaware, exclusively in the state or federal courts located in Delaware.

Both parties will make a reasonable effort to resolve disputes informally before pursuing legal action. To the fullest extent permitted by law, your organization waives any right to participate in class-action claims against Sundial.

13. Changes to Terms and Services

We may update these Terms or modify the Services to improve functionality, comply with legal requirements, or address changing business needs.

We will provide notice of material changes by email, within the extension, or on our website. Your continued use of the Services after the effective date of such changes constitutes your acceptance of the revised Terms.

If a material change adversely and substantially affects your use of the Services, and no other written agreement governs your use (e.g., an enterprise agreement), you may terminate your subscription and request a pro-rated refund of prepaid fees for the remaining period.

We may also modify or discontinue features or functionality, but will use commercially reasonable efforts to notify you in advance if the change materially affects your use of the Services.

14. Assignment

Assignment by Sundial
These Terms of Service, and any rights and licenses granted hereunder, may be transferred or assigned by Sundial without restriction, including in connection with a merger, acquisition, sale of assets, or other change of control. By continuing to use the Services following any such transfer or assignment, you agree to be bound by the successor entity and these Terms as so assigned or transferred.

Assignment by You You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. However, if you are a Business Customer with an active subscription, you may transfer your rights to a successor entity, subsidiary, or employee within your organization, provided that you notify Sundial in writing. Any other attempted assignment in violation of this provision shall be null and void.
